Terms & Conditions
Definitions
These Terms govern the sale of the Goods sold by the Seller to the Buyer named on the order form provided on the Seller's web site or catalogue and where the Goods are supplied as a result of the Buyer's acceptance of the Quotation. The completed order form or Quotation together with the Terms constitute the entire and only agreement between the parties in relation to the sale of the Goods and comprises a legally binding contract between the parties.
1.1 Buyer
Buyer: means the person or company who accepts the Seller's Quotation for the sale of the Goods or whose Order for the Goods is accepted by the Seller, processing of a payment and acknowledgement of an order does not constitute a legally binding contract.
1.2 Goods
Goods: means the goods (including any installment of the goods or any parts for them) which the Seller is to supply in accordance with these Terms.
1.3 Order
Order: means the Buyer's acceptance of the Seller's Quotation for the Goods or the order placed by the Seller for the Goods whether by means of the Seller's catalogue or web site which the Buyer accepts, processing of a payment and acknowledgement of an order does not constitute a legally binding contract.
1.4 Customized Products
Customized Products: means any products ordered by or supplied to the Buyer which have been either custom made or ordered from a third party or tailored to meet specific requirements stipulated by the Buyer.
1.5 Non-Customized Products
Non-Customized Products: means any products which are not Customized Products.
1.6 Quotation
Quotation: means the written quotation setting out the price of the Goods provided by the Seller to the Buyer.
1.7 Seller
Seller: means Wholesale Packaging, Part of Wholesale Packaging Ltd, Company No. 5166694, VAT No. GB 292200485, with registered offices at : Edgeware Bury House Farm, Elstree Hill South, Elstree, Hertfordshire (Herts), WD6 3DE.
1.8 Terms
Terms: means the standard terms of sale set out in this document and includes any special terms agreed in writing between the Seller and the Buyer.
Price and Payment
2.1 Web Orders
If the Buyer places an Order via the Seller's web site the price payable for the Goods will be set out on the web site at the time the Seller places the Order.
2.2 Catalogue Orders
The Buyer may place an Order from one of the Seller's current catalogues and the prices of the Goods will be set out in the said catalogue.
2.3 Account Orders
For customers who have an existing account with Wholesale Packaging and the products ordered are in stock we will automatically process fax, web and post orders. We will not call you to confirm fax, web and post orders.
2.4 Quotation Validity
If the Buyer accepts the Seller's Quotation then the prices contained therein are only valid for the period of 30 days from the date of the Quotation. If the Buyer wishes to order the Goods stated in the Quotation after this period then a new Quotation should be obtained or an enquiry made as regards the price of the Goods upon making an Order.
2.5 Price Variation
Notwithstanding the above clauses the Seller reserves the right by giving notice to the Buyer at any time before delivery, to vary the price of the Goods to reflect any increase/decrease in cost to the Seller which is due to any factor beyond the control of the Seller.
2.6 VAT and Carriage
The Buyer shall be responsible for any charges for VAT and carriage in addition to the price for the goods unless otherwise agreed in writing between the parties.
2.7 Payment Requirement
Subject to clause 2.9, the Seller must receive payment for the total price of the Goods and any applicable charges for VAT and carriage before the Order can be accepted unless otherwise agreed in writing.
2.8 Credit Accounts
Payment is required in advance for goods to be dispatched, unless a credit account is formally agreed and opened. In instances where a credit account is opened, payment is due strictly within 7 days of the invoice date. Orders using a credit account must be placed over the phone, as the website will not process any orders until payment is made.
2.9 Payment Methods
You can choose to pay by account, credit or debit card or by cheque.
2.10 Telephone Confirmation
Wholesale Packaging provide a telephone confirmation service for fax orders. If you wish to use this service, please request it at the time of ordering.
Delivery and Title
3.1 Delivery Method
Delivery of the Goods shall be made by the Seller to the address of the Buyer as stipulated on the Order, or by Buyer collecting the Goods at the Seller's premises at any time after the Seller has notified the Buyer that the Goods are ready for collection. A signature indicating safe receipt of the Goods will be required on delivery or collection.
3.2 Delivery Dates
Any dates quoted for delivery of the Goods are approximate only and the Seller shall not be liable for any delay in delivery of the Goods howsoever caused.
3.3 Failure to Take Delivery
If the Buyer fails to take delivery of the Goods then without limiting any other right or remedy available to the Seller, the Seller may store the Goods until actual delivery.
3.4 Risk Transfer
Risk of damage to or loss of the Goods shall pass to the Buyer:
- 3.4.1 in the case of Goods to be delivered at the Buyers premises, at the time of delivery or, if the Buyer wrongfully fails to take delivery of the Goods, the time when the Seller has tendered delivery of the Goods; or
- 3.4.2 in the case of Goods the Buyer has requested the Seller to leave unattended at their requested delivery address when the Buyer is unable to take receipt of the goods and sign for the goods, at the time of delivery.
3.5 Property Transfer
Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Terms, the property in the Goods shall not pass to the Buyer until the Seller has received in cash or cleared funds payment in full of the price of the Goods together with any charges in respect of VAT and carriage.
3.6 Repossession Rights
Until such time as the property in the Goods passes to the Buyer, the Seller may at any time require the Buyer to deliver up the Goods to the Seller, and if the Buyer fails to do so forthwith, enter on any premises of the Buyer or any third party where the Goods are stored and repossess the Goods.
3.7 Delivery Times
For orders received by 3pm for internet orders we aim to deliver by 5.30pm the next working day. Orders placed Monday to Thursday will be delivered the next working day. Orders received on Friday will be delivered the following Monday. Where Bank Holidays fall on a Friday and/or Monday your order will be delivered on the next working day.
3.8 Extended Delivery Areas
If your Postcode begins with AB31-38, AB41-56, HS1-9, IV1-63, KW1-17, PA20-88, PH9, PH10, PH15-50, ZE1-3, KA27-28, FK19-21, BT, TR21-25, JE, GY, IM1-9, and for the Republic of Ireland, please allow 3-5 days for delivery, and expect to pay an additional carriage charge. Wholesale Packaging will not be held responsible for any delays.
3.9 PO Box Restrictions
We cannot deliver to PO Boxes.
Availability
4.1 Stock Availability
The Seller shall endeavour to hold sufficient stock to meet all Orders, however if there are insufficient stock to supply or deliver the Goods already paid for by the Buyer, the Seller shall, at its discretion, supply or deliver a substituted product or refund to the Buyer the price paid for the Goods as soon as possible and in any event within 30 days.
4.2 Customised Products
Customised Products. The Seller shall be entitled to vary the quantity of any Customised Products by plus or minus 10% of the total Order, and refund/collect any difference in payment due accordingly.
Cancellation and Returns
5.1 Cancellation Rights
The Buyer shall be entitled to cancel the Order for Stocked Products by giving to the Seller notice of cancellation within 30 days of the date of collection or delivery. Such notice may be given by telephoning, faxing, emailing or mailing to the contact details below. If there is a defect or fault in the Goods, the Buyer is required to notify the Seller of the problem at the time of cancellation by calling 0208 386 6960.

5.2 Return Costs
On cancellation, the Buyer shall return the Goods to the Seller at its own cost unless the Goods are being returned because they are faulty, incorrect goods or because of unsuitable substitution by the Seller, in which case the Seller will meet the cost of return subject to being able to nominate the carrier.
5.3 Non-Stocked Products
If the Buyer wishes to cancel an order for non-stocked products, this must be done before the order is confirmed. Non-stocked products cannot be returned once your order is confirmed.
5.4 Unwanted Products
Where the Buyer returns Goods to the Seller for reasons other than such Goods being defective or faulty, The Seller will only accept unwanted products at its sole discretion within 30 days of delivery. The goods must be unopened, in a saleable condition.
5.5 Packaging Requirements
The Buyer is required to ensure that any Goods being returned to the Seller are safely and securely packaged to ensure that they are returned undamaged and suitable for re-sale. The Seller reserves the right to charge the Buyer for any Goods which it is unable to re-sell due to the Buyer's failure to comply with this clause 5.5. Goods are not Dispatched or Sold on a trial or return basis.
5.6 Refund Processing
On receipt of the returned goods the Seller will credit, exchange or refund the value of the goods to the Buyer, subject to clauses 5.3 - 5.5.
5.7 Product Warranties
Product warranties do not include consumable parts or where products have been damaged through misuse. A credit or repair for returned products will only be issued after inspection and confirmation that the fault is covered by the manufacturer warranty. Please call us on 0208 386 6960 and we will issue a returns number for collecting the item. Standard carriage rates will be charged on returned products that do not fall within the warranty cover.
Liability
6.1 Defect Claims
A claim by the Buyer which is based on any defect in the quality, quantity or condition of the Goods shall be notified to the Seller in accordance with clause 5.1 or (where the defect or failure was not apparent on reasonable inspection) within 14 days of the discovery of the defect or failure but not exceeding 30 days from the date of delivery. If delivery is not refused and the Buyer does not notify the Seller accordingly, the Buyer shall have no right to reject the Goods and the Seller shall have no liability for such defect or failure, and the Buyer shall be bound to pay the price as if the Goods had been delivered in accordance with the contract.
6.2 Inspection Requirements
Inspection of goods immediately on receipt of a delivery is recommended:
- Damage or short delivery must be notified to the Seller within three days.
- Goods that are refused as damaged must be signed for "Goods refused damaged" on the carrier's delivery paperwork; Goods that are accepted but are damaged must be signed for "Goods damaged"; Goods that are short must be signed for "Goods received short" and the Buyer must amend the number of items delivered on the carrier's delivery paperwork.
- Damaged or short deliveries must not be signed for as "Unchecked" on the carrier's delivery paperwork.
6.3 Seller's Remedies
Where the Buyer does notify the Seller that there is a valid claim in respect of any of the Goods the Seller will, on receipt of the returned goods identify the fault or damage and otherwise inspect the goods. The Seller may replace, repair or refund to the Buyer the price of the Goods at its discretion, in which case the Seller shall have no further liability to the Buyer. For the sake of clarity, the Seller shall not be liable to the Buyer for any loss of profits, administrative inconvenience, disappointment, indirect or consequential loss or damage arising out of any problem in relation to the Goods and shall have no liability to pay any money to the Buyer by way of compensation other than any refund made under these Terms. This does not affect your statutory rights as a consumer, nor is it intended to exclude the Seller's liability to you for fraudulent misrepresentation or for death or personal injury resulting from our negligence.
6.4 Warranty Period
Subject to clauses 6.3 and 6.5 the Seller warrants that the Goods will be free from defects in material and workmanship for a period of 6 months from the date of delivery unless otherwise stated in writing.
6.5 Warranty Conditions
The warranty is given by the Seller subject to the following conditions:
- 6.5.1 The Seller shall be under no liability in respect of any defect in the Goods arising from any drawing or specification supplied by the Buyer.
- 6.5.2 The Seller shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, external force, damage caused by the Buyer or any other party, or damage caused by the incorrect installation, use, modification or repair of the Goods.
- 6.5.3 The Seller shall be under no liability under the above warranty if the total price for the Goods has not been paid by the due date for payment.
- 6.5.4 The above warranty does not extend to parts, materials or equipment not manufactured by the Seller.
- 6.5.5 The above warranty is given solely to the Buyer and is not transferable to any third party.
Termination
The Seller shall be entitled to suspend further supply or delivery, stop any goods in transit or immediately terminate the contract with the Buyer by notice in writing if the Buyer is in breach of an obligation hereunder or becomes unable to pay its debts when they fall due or proceedings are commenced by or against it alleging bankruptcy or insolvency.
Upon termination, all monies owing to the Seller in accordance with these Terms becomes immediately due and payable and the Seller shall be under no further obligation to supply any goods to the Buyer.
Events Beyond Our Control
The Seller shall have no liability to the Buyer for any failure or delay in supply or delivery or for any damage or defect to the Goods supplied or delivered hereunder that is caused by any event or circumstance beyond its reasonable control (including without limitation strikes, lockouts, acts of God and the like).
General
9.1 Entire Agreement
These Terms, together with any order confirmation, quotation, or other document expressly incorporated by reference, constitute the entire agreement between you and Wholesale Packaging regarding the purchase and sale of goods and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter hereof.
9.2 Severability
If any part of these Terms is found to be invalid, illegal, or unenforceable (including any provision in which we exclude our liability to you), the validity, legality, or enforceability of any other part of these Terms will not be affected. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.
9.3 Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

9.5 Call Monitoring
Your privacy. As part of our ongoing commitment to providing you with the highest levels of quality and service, some calls may be monitored or recorded for staff training requirements.
9.6 Data Protection
Data Protection. If we have obtained your details from our customer list, enquirer records or from a third party business list, we may use your details to contact you from time to time to inform you of our products or services which may be of interest to you. If you wish to change any of your information or do not wish to continue to be part of our marketing programme please write or e-mail, using the contact details below.
TradePro Account Terms
10.1 TradePro Membership
TradePro is a membership program that provides eligible customers with discounted pricing and exclusive benefits. Membership is subject to approval by Wholesale Packaging and is granted at our sole discretion. TradePro membership is available to trade businesses only.
10.2 Trade Business Requirement
TradePro membership is exclusively for trade businesses. If a member closes their trade business or ceases to operate as a trade business, they must immediately notify Wholesale Packaging and must not continue to use their TradePro account. Continued use of a TradePro account after closing a trade business may result in immediate termination of membership and may be considered a violation of these Terms.
10.3 TradePro Benefits
TradePro members are entitled to the following benefits (subject to meeting the minimum purchase requirements):
- Discount Pricing: Starting at 5% discount on all orders, with higher discount rates (up to 10%) available based on trade volume
- Exclusive Offers: Access to trade-only offers and promotions (members must sign up to newsletters to receive these)
- Priority Support: Priority customer support for all your needs
- Bulk Discounts: Additional discounts for large bulk orders
- BACS Payment: Ability to pay by BACS transfer (in addition to Card and PayPal payments)
10.4 Discount Structure
TradePro members receive a base discount rate of 5% on all orders. Higher discount rates (up to 10%) may be available based on the volume of trade and other factors, as determined by Wholesale Packaging at our discretion.
10.5 Minimum Purchase Requirement
To maintain TradePro membership and discounted pricing, members must make purchases of a minimum of £1,000 per month (or such other period as may be specified by Wholesale Packaging). This minimum purchase requirement must be met on an ongoing basis to retain TradePro status.
10.6 Account Downgrade
If a TradePro member fails to meet the minimum purchase requirement, their account will be automatically downgraded to a standard account. Upon downgrade, the member will lose access to TradePro discounted pricing and will be charged standard prices for all future orders.
10.7 Re-application for TradePro
If a member loses their TradePro membership (whether through failure to meet minimum purchase requirements or for any other reason), they must re-apply for TradePro membership. Re-approval is at the sole discretion of Wholesale Packaging and is not guaranteed. Previous TradePro membership does not guarantee future approval.
10.8 Membership Review
Wholesale Packaging reserves the right to review, modify, suspend, or terminate TradePro membership at any time, with or without notice, at our sole discretion. We may also modify the minimum purchase requirements, discount rates, or other terms of TradePro membership at any time.
10.9 No Guarantee of Membership
TradePro membership is a privilege, not a right. Wholesale Packaging reserves the right to refuse, suspend, or terminate TradePro membership for any reason, including but not limited to failure to meet purchase requirements, violation of these Terms, closure of trade business, or any other reason deemed appropriate by Wholesale Packaging.
Website Use and Account Security
11.1 Acceptable Use
You agree to use our website and services only for lawful purposes and in accordance with these Terms. You must not use our website in any way that breaches any applicable local, national, or international law or regulation, or in any way that is unlawful or fraudulent.
11.2 Prohibited Activities
You must not:
- Attempt to gain unauthorized access to our website, accounts, computer systems, or networks
- Use automated systems (bots, scrapers, crawlers) to access or extract data from our website without our express written permission
- Interfere with, disrupt, or damage our website, servers, or networks
- Transmit any viruses, malware, or other harmful code
- Copy, reproduce, or redistribute any content from our website without our prior written consent
11.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You must not share your account with any third party. You agree to notify us immediately if you become aware of any unauthorized use of your account or any breach of security. You are responsible for all activities that occur under your account.
11.4 Password Requirements
You must choose a strong password for your account and keep it secure. We recommend using a combination of letters, numbers, and special characters. You must not use easily guessable passwords or share your password with anyone.
11.5 Account Suspension
We reserve the right to suspend or terminate your account immediately if we suspect any breach of these Terms, fraudulent activity, or any other misuse of our services. We may also suspend accounts that are inactive for extended periods.
Intellectual Property
12.1 Ownership of Content
All content on this website, including but not limited to text, graphics, logos, images, product descriptions, software, and the compilation of all content, is the property of Wholesale Packaging or its content suppliers and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.
12.2 Trademarks
The "Wholesale Packaging" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Wholesale Packaging or its affiliates or licensors. You must not use such marks without our prior written permission.
12.3 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for personal or commercial purposes in accordance with these Terms. This license does not include any right to reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website.
12.4 Prohibited Use
You must not copy, reproduce, republish, upload, post, transmit, or distribute any material from our website without our prior written consent. Any unauthorized use of our intellectual property may result in legal action.
Order Acceptance and Rejection
13.1 Order Confirmation
Your order is an offer to purchase goods from us. We reserve the right to accept or reject your order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraudulent activity. An order confirmation email does not constitute acceptance of your order.
13.2 Right to Reject Orders
We reserve the right to reject, cancel, or refuse any order at any time before dispatch, including but not limited to orders that appear to be fraudulent, orders with incorrect pricing due to system errors, orders for products that are no longer available, or orders that violate these Terms.
13.3 Verification Requirements
For large orders or orders that appear unusual, we may require additional verification, including but not limited to identity verification, payment verification, or confirmation of delivery address. We may delay dispatch until such verification is complete.
13.4 Cancellation Before Dispatch
We reserve the right to cancel your order at any time before dispatch. If we cancel your order after payment has been processed, we will refund the full amount paid within 14 days. We will notify you by email if we cancel your order.
Product Information and Descriptions
14.1 Product Descriptions
We strive to provide accurate product descriptions, specifications, and images. However, we do not warrant that product descriptions, images, or other content on our website are accurate, complete, reliable, current, or error-free. Product specifications, dimensions, and colors may vary slightly from those shown on our website.
14.2 Product Images
Product images are for illustrative purposes only. Colors, textures, and appearances may vary from the images shown due to factors including but not limited to your display settings, lighting conditions, and manufacturing variations. We cannot guarantee that product colors will match exactly as displayed on your screen.
14.3 Product Specifications
We reserve the right to modify product specifications, dimensions, features, or packaging at any time without notice. We will make reasonable efforts to notify customers of significant changes, but we are not obligated to do so. Product specifications are subject to change without notice.
14.4 Substitution Rights
If a product becomes unavailable after you place an order, we reserve the right to substitute a similar product of equal or greater value, or to cancel the order and provide a full refund. We will notify you if we intend to substitute a product.
Promotions and Offers
15.1 Promotional Terms
From time to time, we may offer promotions, discounts, special offers, or promotional codes. All promotions are subject to availability and may be subject to additional terms and conditions. We reserve the right to modify, suspend, or terminate any promotion at any time without notice.
15.2 Discount Codes
Promotional codes and discount vouchers may be subject to specific terms and conditions, including minimum order values, product exclusions, expiry dates, and usage limits. Only one promotional code may be used per order unless otherwise stated. We reserve the right to refuse or cancel any order where a promotional code has been used incorrectly or fraudulently.
15.3 Price Matching
We do not offer price matching with other retailers. Our prices are set at our discretion and may change at any time. We are not obligated to honor prices from previous sales or promotions.
15.4 Promotional Limitations
Promotions cannot be combined with other offers unless explicitly stated. We reserve the right to limit the quantity of items purchased under any promotion. Promotions are available while supplies last and may be withdrawn at any time.
Dispute Resolution
16.1 Contact Us First
If you have any concerns or complaints about our products or services, please contact us first using the contact details provided on our website. We will make every reasonable effort to resolve any issues promptly and fairly.
16.2 Alternative Dispute Resolution
If we are unable to resolve a dispute through direct communication, you may be entitled to use alternative dispute resolution (ADR) services. We are committed to resolving disputes fairly and may agree to participate in ADR processes where appropriate.
16.3 Small Claims Court
If you are a consumer, you may bring proceedings in the courts of England and Wales. If you are a business, you agree that any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
16.4 Time Limits
You must notify us of any claim or dispute within a reasonable time. Claims for defective goods must be notified in accordance with clause 6.1. Failure to notify us within the specified time limits may affect your rights.
Assignment and Transfer
17.1 Our Right to Assign
We may transfer, assign, or subcontract our rights and obligations under these Terms to any third party at any time. We will notify you of any such transfer where required by law.
17.2 Your Right to Assign
You may not transfer, assign, or subcontract any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment without consent will be void.
Modifications to Terms
18.1 Right to Modify
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our website or services after such modifications constitutes your acceptance of the modified Terms.
18.2 Material Changes
For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you by email or through a prominent notice on our website. Material changes will not apply retroactively to orders placed before the effective date of the changes.
18.3 Your Responsibility
It is your responsibility to review these Terms periodically for any changes. If you do not agree to any modifications, you must stop using our website and services immediately.
Account Deletion and Data Removal
19.1 Right to Account Deletion
You have the right to request deletion of your account and associated personal data at any time, in accordance with the General Data Protection Regulation (GDPR) and UK Data Protection Act 2018.
19.2 How to Delete Your Account
To delete your account, log in to your account and navigate to Account Settings. At the bottom of the page, you will find the option to "Delete Account". Click this button and follow the on-screen instructions to confirm your deletion request.
19.3 What Gets Deleted
Upon account deletion, the following information will be permanently removed:
- Your personal information (name, email, phone numbers)
- Your delivery and billing addresses
- Your account credentials and authentication tokens
- Your wishlist items
- Your notification preferences
19.4 Data Retention for Legal Purposes
Some information may be retained for legitimate business and legal purposes, including:
- Order history and transaction records (required for accounting and tax purposes for 7 years)
- Invoices and payment records
- Records necessary for legal compliance, fraud prevention, or dispute resolution
This information will be retained in accordance with applicable laws and regulations, but your account will no longer be accessible and your personal identifiable information will be anonymized where possible.
19.5 Pending Orders
You cannot delete your account if you have pending orders or outstanding payments. All orders must be completed, delivered, and paid for before account deletion can be processed. If you wish to delete your account with pending orders, please contact our customer service team at info@wholesalepackaging.co.uk or call 0208 386 6960.
19.6 Deletion Timeline
Once you submit your account deletion request, your account will be deactivated immediately. The permanent deletion of your personal data will be completed within 30 days. During this period, you may contact us to cancel the deletion request.
19.7 Re-registration After Deletion
After your account has been deleted, you may create a new account using the same email address. However, this will be treated as a completely new account with no access to previous order history or saved information.
19.8 Alternative Contact Methods
